Streamster Seller Agreement

This Seller Agreement ("Agreement") governs your use of Streamster ("Streamster", "we") as a seller. By creating a seller account or going live, you agree to it.

1. What Streamster is

Streamster is software that lets you broadcast one live stream to Facebook and Instagram simultaneously and sell products to viewers through a checkout hosted by Stripe. Streamster provides the tools; you are the merchant of record for every sale you make.

2. You are the merchant of record

Payments are processed through Stripe Connect directly on your connected Stripe account. This means you — not Streamster — are the merchant of record. You are solely responsible for:

  • Your products, their descriptions, fulfillment, shipping, and returns.
  • Determining, collecting, and remitting all applicable sales/VAT/GST taxes.Streamster enables Stripe Tax, but configuring your tax registrations and remitting tax is your responsibility.
  • Customer service and dispute/chargeback handling for your sales.
  • Complying with the terms of Stripe, Facebook, and Instagram.

3. Fees

  • Platform commission: determined by your subscription tier — Starter 4%, Creator+ 2%, or Pro 1% — taken as a Stripe application fee. The original founding sellers retain a grandfathered 1% commission, which supersedes the tier rate.
  • Subscription: your chosen plan — Starter ($79/month, 10 live streaming hours), Creator+ ($199/month, 40 live streaming hours), orPro ($499/month, 150 live streaming hours) — billed monthly, plus metered overage of $5 per additional live hour beyond your plan's included amount.
  • Stripe processing fees: because you are the merchant of record, Stripe's processing fees are deducted from your sales by Stripe.
  • Buyers pay no Streamster fee — buyers pay the product price plus applicable tax only.

4. Founding Seller commitment

"Founding Sellers" are a closed, grandfathered cohort. They retain a 1% platform commission for the life of the account; this affects commission only. Founding Sellers pay the same standard subscription price as all other sellers. The standard tiered commission applies to all other sellers: Starter 4%, Creator+ 2%, Pro 1%.

5. Buyers and order lookup

Buyers purchase as guests (no account required). Buyers can look up their order status and tracking at /orders/lookup using their order reference and email.

6. Acceptable use

You may not stream or sell anything illegal, infringing, or prohibited by Facebook, Instagram, or Stripe, including (without limitation) counterfeit goods, regulated/illegal items, or content that is hateful, violent, or sexually exploitative. You are responsible for your stream content and must hold all rights to anything you broadcast, including music. Violations may result in suspension.

7. Subscriptions and cancellation

Subscriptions renew monthly until canceled. You can cancel anytime in one click from your billing settings (Stripe Customer Portal); cancellation takes effect at the end of the current billing period. Failed payments may restrict access until resolved.

9. Disclaimers & liability

Streamster is provided "as is." We are not liable for platform outages (Mux, Stripe, Facebook, Instagram), lost sales, or tax liabilities. Our aggregate liability is limited to the fees you paid us in the prior three months.

10. Fulfillment Requirements

When a buyer completes checkout, you must register a shipping label and ship the item within 7 days. Streamster will automatically refund the buyer and cancel the order if no tracking is registered within this window. The refund is processed by Stripe directly from your connected account.

Auto-suspension at 3 unfulfilled orders: After 3 orders are automatically cancelled due to failure to ship within 7 days, your seller account will be suspended. Contact support@streamster.shop to be reinstated.

Shipping to the correct address: You must ship to the exact address shown in the order confirmation. Streamster is not responsible for packages delivered to incorrect addresses.

11. Dispute Reserve (10% Holdback) and Conditional Payouts

All payouts are conditional advances. A payout made to your Stripe account is not a final transfer of funds — it is an advance against amounts that may become due to Streamster in connection with refunds, disputes, chargebacks, fees, or other obligations arising from your sales. Streamster retains the right to reclaim any portion of a payout necessary to satisfy amounts owed under this Agreement.

Streamster withholds 10% of your seller net on each order as a dispute reserve, held for 30 days from confirmed delivery. This reserve covers refunds in the event of buyer disputes.

  • The reserve is 10% of your seller net (after commission and Stripe fees).
  • After 30 days with no open disputes, the reserved amount is released to your Stripe balance, subject to the minimum reserve requirement below.
  • If a buyer dispute results in a refund, the refund amount — including Stripe's transaction fees — is deducted from your reserve balance.
  • If your reserve balance is insufficient to cover a refund, you are personally liable for the full deficit and Streamster is authorized to recover it from your Stripe account, any funds subsequently credited to your account, or by other lawful means.
  • Minimum reserve: You must maintain a minimum reserve balance of at least $50 (or the equivalent in your currency) at all times. Payouts will not be released if doing so would reduce your reserve balance below this minimum. Streamster may suspend your account if your reserve balance goes negative.

This is an accounting mechanism managed by Streamster. It does not require any action on your Stripe account beyond ensuring your Stripe connected account remains in good standing.

12. Streamster's Authority to Issue Refunds

For disputes resolved through Streamster's dispute process, Streamster is authorized to issue refunds on your behalf. You authorize Streamster to deduct refund amounts from your dispute reserve balance and, where necessary, from your Stripe account to satisfy approved refunds. Streamster will notify you of any refund issued on your behalf.

Personal liability for shortfalls. In the event that a refund, chargeback, or other obligation arising from your sales exceeds the balance of your dispute reserve and any other funds Streamster holds on your behalf, you are personally liable to Streamster for the full amount of that shortfall. Streamster may pursue recovery of that amount through any lawful means, including but not limited to: deducting the shortfall from future payouts, charging the payment method on file, sending the debt to collections, or initiating legal proceedings.

13. Indemnification

You agree to indemnify, defend, and hold harmless Streamster, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) any breach of this Agreement by you; (b) any buyer dispute, chargeback, or refund arising from your sales; (c) any violation of applicable law or the rights of a third party in connection with your products or listings; or (d) any fraudulent, negligent, or wrongful act or omission by you in connection with your use of Streamster.

14. Breach and Remedies

If you breach this Agreement — including by failing to ship orders, failing to respond to buyer disputes, failing to maintain your minimum reserve balance, or incurring a shortfall that is not repaid within 30 days — Streamster may, without limiting any other remedy: (a) suspend or terminate your seller account; (b) withhold all pending payouts; (c) apply any funds held on your behalf toward amounts you owe; (d) refer the debt to a collections agency; and/or (e) pursue legal action to recover amounts owed.

Suspension for any of the above reasons does not relieve you of your obligation to repay any shortfall or other amounts owed to Streamster.

15. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Any dispute arising from or relating to this Agreement shall be resolved exclusively in the state or federal courts located in Delaware. By agreeing to this Agreement, you submit to the personal jurisdiction of such courts.

16. Changes

We may update this Agreement; material changes will be communicated. Continued use constitutes acceptance.
